Ramka License Agreement

Version 2.0

This Agreement governs the paid proprietary licenses for ramka: Indie, Business, Agency, and Embedded / OEM. It was previously published as the Ramka Commercial License Agreement; licenses purchased earlier remain governed by the version in force at the time of purchase. The Business tier was previously named Commercial: a license purchased under the Commercial name is the same license as the Business license, with no change in rights, restrictions, or eligibility.

Definitions

ramka means the software distributed under the @ramka/react package, including the version covered by the applicable Order and any updates the Licensee is entitled to receive under this Agreement.

Licensor means Artur Bień, operating under the business name Expensive Toys.

Licensee means the individual or legal entity identified in the Order as the purchaser of the Paid License.

Paid License means the proprietary license granted under this Agreement for the purchased License Tier.

License Tier means Indie, Business, Agency, or Embedded / OEM. Your License Tier is the tier identified in your Order or purchase confirmation. An Order identifying the former Commercial tier refers to the Business tier.

Order means the order placed at the time of purchase, including the purchase confirmation issued for it.

Product means a software application, website, service, or other end-user product in which ramka is incorporated.

Client Project means a Product created by the Licensee for a third party.

Consumer means an individual who enters into this Agreement primarily for purposes outside that individual's trade, business, craft, or profession.

1. What a purchase is

ramka is publicly available through the npm registry and may be used by anyone under the GNU General Public License v3.0 only (GPL-3.0-only), subject to the GPL's terms. Purchasing a Paid License does not unlock a private package or deliver separate software files.

What the purchase grants is additional licensing rights: the Paid License is an alternative license grant that permits use of ramka in proprietary Products without relying on the GPL and without the GPL's source-code and licensing obligations, within the scope of the purchased License Tier.

The rights granted by the Paid License exist only while the Paid License is valid. If the Paid License ends, or is treated as never having taken effect, under Section 7 or Section 8, this does not remove or restrict any rights independently available to the Licensee under GPL-3.0-only or any other license separately granted for ramka.

The Paid License is a legal grant, not a technical unlock. It is not enforced by license keys, activation, or other technical protection measures.

2. License grant

Subject to payment of the applicable license fee and compliance with this Agreement, the Licensor grants the Licensee a non-exclusive, worldwide, perpetual license (non-transferable except as expressly permitted by this Agreement) to use, reproduce, modify, and incorporate ramka into proprietary Products covered by the purchased License Tier.

The Licensee may distribute those Products to end users without making the Licensee's proprietary source code available under GPL-3.0-only.

The scope of the grant is defined by the purchased License Tier in Section 3.

3. License tiers

Indie

The Indie license is granted to one individual and permits that individual to use ramka in any number of proprietary Products that the individual personally owns and operates.

The Indie license is personal to the Licensee:

  • It covers Products owned by the Licensee as an individual. It does not cover Products owned by an employer, by a company or other legal entity (including a company owned by the Licensee), or by any other person.
  • It does not cover Client Projects or other work delivered to clients. A freelancer or contractor building a Product for a client needs the Agency license, even when working as an individual.
  • It covers development work performed by the Licensee personally.

It does not permit redistribution of ramka as part of a component library, SDK, site builder, template system, development platform, or similar redistributable product.

Business

The Business license permits one company or legal entity to use ramka in any number of proprietary Products that it owns and operates.

The license covers any number of employees and contractors working on those Products on behalf of the Licensee.

It does not permit use in Products created for third-party clients, or redistribution of ramka as part of a component library, SDK, site builder, template system, or similar product.

Agency

The Agency license permits one company, agency, or individual to use ramka in any number of proprietary Products, including Client Projects, created for itself or for third-party clients.

The license covers any number of employees and contractors working on those Products on behalf of the Licensee.

The Licensee may deliver a completed Client Project containing ramka to the applicable client and may grant that client the rights necessary to use and operate that Client Project.

This does not grant the client a standalone license to use ramka in other Products. Any such use requires the client to obtain its own applicable ramka license.

It does not permit redistribution of ramka as part of a component library, SDK, site builder, template system, or similar product.

Embedded / OEM

Use of ramka in a product that redistributes ramka, exposes ramka for use by third parties, or incorporates ramka into a component library, SDK, site builder, template system, white-label product, or similar offering requires a separate Embedded / OEM license.

4. Source code and modifications

The Licensee may access, copy, and modify the ramka source code for use in Products permitted by the purchased License Tier.

The Licensee may maintain private forks and make internal modifications without publishing those modifications.

The Licensee may not sell, sublicense, publish, or distribute ramka itself, or a modified version of ramka, as a standalone library or substantially similar developer product.

Copyright, attribution, and third-party license notices included with ramka must be preserved where required by applicable third-party licenses. Those notices ship with the package as THIRD-PARTY-NOTICES.md and are published at ramka.dev/license/notices.

5. Term and updates

The Paid License is perpetual, subject to Section 7 (Termination) and Section 8 (Withdrawal, refunds, and reversals). The Licensee may continue using any version of ramka obtained under the Paid License indefinitely while the Paid License remains in effect.

For purchases made before ramka reaches version 1.0.0, the license includes all updates released up to and including the last release before version 1.0.0.

For purchases made from version 1.0.0 onward, the license includes all updates released within the same major version of ramka that was current at the time of purchase.

Future major versions may require a separate upgrade purchase.

6. Licensee and transfer

The license is granted to the individual or legal entity identified in the Order.

For the Business and Agency tiers, the license may be used by the Licensee's employees and contractors solely on behalf of the Licensee and within the scope of the purchased License Tier. The Indie license is personal, as described in Section 3.

The license may not be sold, assigned, sublicensed, or transferred to another person or legal entity without prior written permission from the Licensor, except for the limited rights granted to clients under the Agency license in Section 3.

If a Licensee that is a legal entity is acquired, merged, or reorganized, the license may continue to be used by its legal successor for the same Products, provided the license is not transferred as a standalone asset.

7. Termination

This Agreement remains in effect unless terminated in accordance with this section or Section 8.

The Licensee's rights under this Agreement terminate if the Licensee materially breaches its terms and does not cure that breach within 30 days after receiving written notice from the Licensor.

Upon termination, the Licensee must stop any new use, copying, modification, or distribution of ramka under the Paid License.

Termination does not affect copies of Products that were lawfully distributed to end users before termination. However, the Licensee may not continue to operate, deploy, update, or newly distribute Products containing ramka under the Paid License after termination.

Termination of the Paid License does not affect any rights independently available to the Licensee under GPL-3.0-only, subject to the GPL's own terms.

8. Withdrawal, refunds, and reversals

Statutory withdrawal. Where mandatory consumer law grants the Licensee a right of withdrawal from the purchase (for example, the 14-day withdrawal right available to Consumers in the EU/EEA for contracts concluded at a distance), the Licensor honors that right. How to exercise it is described in the Return Policy. If the Licensee validly withdraws, the purchase contract is treated under applicable law as if it had not been concluded. In that case the Paid License is treated as never having taken effect, and the Licensee may not rely on it. All payments are refunded as required by applicable law.

Refunds and reversals. If a purchase is otherwise refunded, rescinded, or reversed, including through a chargeback, the Paid License granted by that purchase terminates when the refund or reversal occurs.

Effect. In each case above, the Licensee must stop relying on the Paid License for proprietary use of ramka. This does not affect the public availability of ramka or any rights the Licensee independently has under GPL-3.0-only or another license separately granted for ramka; any continued use of ramka is then governed solely by the terms of that other license.

9. Ownership

ramka and all intellectual property rights in ramka remain the property of the Licensor and its respective third-party licensors.

This Agreement grants the Licensee permission to use ramka only as expressly described in this Agreement. It does not transfer ownership of ramka, or any copyright in ramka, to the Licensee.

The Licensee retains ownership of its own Products, source code, and original material created by the Licensee. The Licensor retains ownership of ramka and the underlying ramka source code.

To the extent the Licensee creates modifications to ramka, the Licensee retains any rights it may have in its original contributions to those modifications, while ownership of the underlying ramka code remains with the Licensor.

Third-party software included with ramka remains subject to its applicable third-party license terms.

10. Warranty and liability

RAMKA IS PROVIDED “AS IS” AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM OR RELATED TO THE USE OF RAMKA.

THE LICENSOR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT WILL NOT EXCEED THE AMOUNT PAID BY THE LICENSEE FOR THE APPLICABLE PAID LICENSE.

This section applies subject to Section 11. For a Licensee who is a Consumer, the disclaimers and limitations in this section apply only to the extent permitted by mandatory law, and do not limit the Licensor's statutory liability for conformity of digital content with the contract or any other liability that cannot lawfully be excluded or limited.

11. Consumers

If the Licensee is a Consumer, this section applies in addition to the rest of this Agreement.

Nothing in this Agreement excludes, restricts, or limits rights or remedies that cannot lawfully be excluded or limited, including mandatory statutory rights available to Consumers. Where any provision of this Agreement conflicts with such a mandatory right, the mandatory right prevails.

Consumers have statutory rights regarding the conformity of digital content with the contract under applicable law; in Poland, under the Consumer Rights Act of 30 May 2014, which implements Directive (EU) 2019/770. Those rights are not limited by Section 10. Conformity complaints can be sent to artur.bien+ramka@gmail.com.

Statutory withdrawal rights, and their effect on the Paid License, are described in Section 8 and the Return Policy.

Under Polish law, certain protections granted to Consumers, including the withdrawal right and conformity rights, also apply to an individual entering into a contract directly related to their business activity where the contract is not of a professional character for that individual.

An individual who purchases for professional purposes (for example, a freelancer buying ramka for client work) is not acting as a Consumer merely by being an individual.

12. Governing law

This Agreement is governed by the laws of Poland, without regard to its conflict of laws rules. If the Licensee is a Consumer, this choice of law does not deprive the Licensee of the protection of provisions that cannot be derogated from by agreement under the law of the country of the Licensee's habitual residence.

For a Licensee who is not a Consumer, any dispute arising out of or relating to this Agreement will be subject to the exclusive jurisdiction of the courts competent for the Licensor's registered place of business in Poland or, if the Licensor has no registered place of business, the Licensor's place of residence, unless applicable law requires otherwise. For a Licensee who is a Consumer, jurisdiction is determined by applicable law, and nothing in this Agreement limits the Consumer's right to bring or defend proceedings in the courts available under that law.

13. Licensor and acceptance

This Agreement is between the Licensee and the Licensor.

By purchasing a Paid License, the Licensee agrees to be bound by this Agreement.

The applicable License Tier, price, and Licensee identity are determined by the Order.

14. Miscellaneous

This Agreement, together with the applicable Order, constitutes the entire agreement between the Licensor and Licensee regarding the Paid License for ramka and supersedes prior discussions or representations about that license. This does not limit any mandatory rights of a Consumer, or exclude liability for statements that cannot lawfully be excluded.

If any provision of this Agreement is found unenforceable, the remaining provisions will remain in effect.

A failure to enforce any provision of this Agreement does not waive the right to enforce it later.

Any amendment to this Agreement must be made in writing. Changes to published license terms do not retroactively alter licenses already purchased unless the Licensee agrees to those changes.
